1. Agreement to Terms

zimni.pk is owned and operated by Tkhex LLP ("Service," "Platform," "we," "our," or "us"). Our registered office and principal place of business is 978-L, Sabzazar Scheme, Lahore, Pakistan. For help with an order or your account, call us on 0322-7957002 or email contact@tkhex.com.

By accessing or using the Service, including our website at zimni.pk, our application at app.zimni.pk, and our AI-powered tools such as Muhafiz-Cam and Bayan-Khulasa, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Tkhex LLP. If you are using the Service on behalf of a law firm, organization, or entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Service

zimni.pk is an AI-powered legal case management platform that provides:

• Legal case and matter management tools
• AI-powered analysis tools, including Muhafiz-Cam (evidence review) and Bayan-Khulasa
• AI chat over your case documents
• Document management and collaboration tools
• Contacts, tasks and notes for each case
• Other legal practice management features

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. The Service is designed for legal professionals, law firms, and authorized legal entities.

3.2 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring that your use of the Service complies with all applicable laws and professional rules

3.3 Account Security

You are responsible for maintaining the security of your account. We recommend using strong passwords and enabling multi-factor authentication when available.

4. Use of AI Tools and Services

4.1 AI Tool Limitations

Our AI-powered tools, including Muhafiz-Cam and Bayan-Khulasa, are designed to assist legal professionals but have limitations:

• Not Legal Advice: AI-generated insights, summaries, and analysis are tools to assist your work but do not constitute legal advice, legal opinions, or professional judgment
• Accuracy: While we strive for accuracy, AI-generated content may contain errors, omissions, or inaccuracies
• Review Required: You are responsible for reviewing, verifying, and validating all AI-generated content before relying on it for legal purposes
• No Guarantee: We do not guarantee the completeness, accuracy, or reliability of AI-generated outputs

4.2 Professional Responsibility

As a legal professional, you remain responsible for:

• All legal work, advice, and representation provided to clients
• Compliance with professional rules of conduct and ethical obligations
• Maintaining attorney-client privilege and confidentiality
• Ensuring that your use of AI tools complies with applicable professional standards
• Supervising and reviewing all work performed using our AI tools

4.3 AI Processing and Data

When you use our AI tools:

• Your data is processed to generate the requested outputs (transcripts, summaries, analysis)
• We do not use your legal data to train or improve our AI models
• Your data remains confidential and is not shared with third parties for AI training
• Processing occurs in secure, encrypted environments

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to:

• Use the Service in compliance with all applicable laws, regulations, and professional rules
• Maintain the confidentiality and security of your account
• Respect intellectual property rights
• Protect attorney-client privilege and client confidentiality

5.2 Prohibited Activities

You agree not to:

• Violate any applicable laws, regulations, or professional rules
• Infringe upon intellectual property rights
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service to process data for which you lack proper authorization
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to access the Service without authorization
• Interfere with or disrupt the Service or servers
• Use the Service in any manner that could damage, disable, or impair our systems
• Share your account credentials with unauthorized parties

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Service, including all software, technology, designs, graphics, text, and other content, is owned by zimni.pk or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content and Data

You retain all ownership rights to your legal data, documents, and content ("Your Content"). By using the Service, you grant us a limited, non-exclusive license to:

• Store, process, and display Your Content as necessary to provide the Service
• Process Your Content through our AI tools to generate the requested outputs
• Perform backups and maintain the Service

This license terminates when you delete Your Content or your account, except as necessary to comply with legal obligations or enforce these Terms.

6.3 AI-Generated Content

AI-generated outputs (transcripts, summaries, analysis) created from Your Content are provided to you for your use. You own the rights to use such outputs, subject to these Terms and applicable law.

7. Subscription and Payment Terms

7.1 Plans, Prices and Free Trial

The Service is offered on monthly and annual plans. Prices are in Pakistani Rupees (PKR) and are listed, with each plan's features and user limits, on our pricing page. Every new organization gets a 14-day free trial of the Solo Advocate plan; no card is needed to start it. AI features use Zimni Credits (ZC): each plan includes a one-time grant, and additional credit packs can be bought at the listed prices.

7.2 Payment

Payments are processed by our payment partner, Safepay. You can pay by debit/credit card, which renews automatically, or by Raast each billing period. We never see or store your full card number; Safepay stores your card securely. You authorise us to charge the saved card for each renewal until you cancel.

7.3 Renewal, Plan Changes and Non-payment

Plans renew at the end of each billing period. Upgrades take effect immediately and you pay only the difference for the rest of the current period; downgrades take effect at the next renewal. If a renewal payment fails, you have 2 days to pay, after which your workspace becomes read-only until payment is made. Your data and remaining credits are kept.

7.4 Cancellation and Refunds

You may cancel at any time from the Billing page; your plan stays active until the end of the period you have paid for. Payments are not refundable, except for billing errors and duplicate charges, which we refund within 14 business days. See our Refund & Cancellation Policy for details.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted, error-free, or secure operation. The Service is provided "as is" and "as available" without warranties of any kind.

8.2 AI Tool Disclaimers

Important: Our AI tools are provided for assistance only. We do not warrant that:

• AI-generated outputs are accurate, complete, or error-free
• AI analysis will identify all relevant information or evidence
• AI tools will meet your specific needs or requirements
• AI processing will be uninterrupted or error-free

You are solely responsible for reviewing, verifying, and validating all AI-generated content before use in legal matters.

8.3 Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not liable for any loss or damage resulting from your use of AI-generated content
• We are not liable for any loss of data, profits, or business opportunities

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless zimni.pk and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any law or regulation
• Your use of AI-generated content in legal matters
• Any claim that Your Content infringes upon third-party rights

10. Termination

10.1 Termination by You

You may terminate your account at any time by cancelling your subscription and deleting your account through your account settings.

10.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay subscription fees
• Engage in fraudulent or illegal activity
• Misuse the Service or AI tools

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account and data in accordance with our data retention policies and legal obligations. You are responsible for exporting your data before termination.

11. Dispute Resolution

If you have a complaint, please contact us first through our complaints process; we acknowledge complaints within 2 working days and aim to resolve them within 10 working days. If a dispute cannot be resolved this way, it will be decided by the courts named in Section 12.

12. Governing Law

These Terms are governed by the laws of the Islamic Republic of Pakistan, and the courts of Lahore (including any consumer court) have exclusive jurisdiction over any dispute you have with us.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified through:

• Email notification to registered users
• Prominent notice in the Service
• Updated posting date on this page

Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
